Terms & Condition Policy (RIA)

 

  1. The Investment Adviser (IA) shall only accept payments towards its fees for Investment Advisory Services and is not permitted to accept funds or securities in its account on the client’s behalf.
  2. The IA does not guarantee returns, accuracy, or risk-free investments. All advice is subject to market risks, and there is no assurance of any returns or profits.
  3. Any assured/guaranteed/fixed returns schemes or any other schemes of similar nature are prohibited by law. No scheme of this nature shall be offered to the client by the IA.
  4. Investment advice, only related to securities shall fall under the purview of SEBI. For any services related to products/services not under SEBI’s purview, the IA shall:
    • Make appropriate disclosure to the client.
    • Obtain a declaration and undertaking from the client acknowledging that such products/services and the services of IA in respect of them do not come under SEBI regulation, and no recourse is available with SEBI for grievances related to them.
  5. This agreement is only for investment advisory services. The IA cannot execute any trade (buy/sell) on behalf of the client without specific and positive consent on every trade. Clients are advised not to permit such execution without explicit consent.
  6. The fee charged by IA is subject to SEBI/IAASB limits (applicable to Individual and HUF clients).
    • (i) Fixed Fee Mode: Rs 1,51,000/- per annum per client family.
    • (ii) AUA Mode: Maximum 2.5% of Assets under Advice (AUA) per annum per family.
    • (iii) The IA may change the fee mode with the client’s consent, but the maximum fee will be the higher of fixed fee or 2.5% of AUA.
    • (iv) Statutory charges are not included in fee limits.
    • (v) Fee limits apply only to investment advice related to SEBI-regulated securities.
    • (vi) These limits do not apply to non-individual clients or accredited investors.
  7. IA may collect fees in advance (maximum 2 quarters). On premature termination of services by either party, the client is entitled to a proportionate refund for the unexpired period. IA may retain a breakage fee of not more than one-quarter fee.
  8. Fee payment modes include cheque, bank transfer, UPI, etc. Cash payments are not allowed. Clients may optionally pay via the Centralized Fee Collection Mechanism (CeFCoM), managed by BSE Limited (recognized IAASB).
  9. The IA is expected to understand the client’s financial background to offer appropriate advice. Clients must share relevant financial information such as income, liabilities, and existing investments.
  10. IA must perform risk profiling and suitability analysis before and during the advisory engagement. The advice provided will align with the client’s risk profile, which must be communicated to the client.
  11. To avoid conflicts of interest:
    • IA or its group/family entities shall not provide distribution services to clients or their family members.
    • IA shall, wherever applicable, advise only direct (non-commission) plans.
    • Any conflict of interest that may affect the service will be promptly disclosed to the client.
  12. For grievance redressal:
    1. Step 1: Contact the IA using details on its website or as per the grievance redressal matrix.
    2. Step 2: If unresolved, file a complaint on SEBI’s SCORES platform: www.scores.sebi.gov.in
    3. Step 3: If still dissatisfied, consider filing through the Online Dispute Resolution (ODR) portal: https://smartodr.in
  13. SEBI registration, IAASB enlistment, and NISM certification do not guarantee returns or performance.
  14. Clients must keep their contact details, including email ID and mobile number, up to date with the IA.
  15. The IA will never request login credentials or OTPs related to the client’s Trading Account, Demat Account, or Bank Account. Such information must never be shared with anyone, including the IA.
